Terms of Use for NZ Natives Calculator Widget

Introduction

The NZ Natives Calculator, branded as Travel with Care, is an online tool that takes travellers on a short interactive journey and provides an estimate of the carbon emissions created by their visit to New Zealand.

These Terms of Use (“Terms”) apply to any organisation, website, or individual (“you”) that copies, installs, or otherwise uses the embed code for the NZ Natives Calculator (“the Tool”) made available by the Otago Shore & Land Trust (“we”, “us”, “OSLT”) on its own website or a third-party website.

By copying, installing, or using the embed code for the Tool, you accept and agree to these Terms. Where your use is on behalf of another person (e.g. a company), you confirm you are authorised to accept and agree to these Terms on that person’s behalf. If you do not agree to these Terms, please do not use the embed code.

1. Licence to Embed

The Otago Shore and Land Trust grants you a non-exclusive, non-transferable, royalty-free licence to embed and display the Tool on your website for the purpose of allowing your customers to use the calculator, subject to your compliance with these Terms and until terminated in accordance with clause 6. This licence does not transfer any ownership of the Tool, its code, design, or underlying methodology to you; grant you any exclusive rights to the Tool, or any right to sub-licence, resell, or redistribute the embed code to third parties; permit you to present the Tool as your own product, or in a way that implies a partnership, endorsement, or affiliation with OSLT beyond your embedding and using of the Tool.

2. No Modification

The embed code and the Tool must not be altered, white-labelled, or modified in any way, including but not limited to changes to its branding, methodology, calculations, or outputs, unless expressly requested and agreed in writing by the OSLT. The Tool must be embedded and displayed as provided.

3. Branding
   
   The Tool includes built-in branding ”Travel with Care” which is an initiative of the OSLT. This branding must remain visible and must not be removed, hidden, or obscured on your website.
4. Indicative Estimate Only

   The Tool provides indicative estimated figures only based on the methodology published by the OSLT. While we take care to keep this methodology current and evidence-based, with various factors subject to periodic review. We give no guarantee, warranty or representation, express or implied, as to the accuracy, reliability or completeness of any result generated by the Tool or its suitability for a particular purpose. The information included in this methodology is subject to change at any time and may, at times, be out of date, inaccurate or incomplete. OSLT is under no obligation, and accepts no responsibility, to update any information or correct any errors included in the methodology or any output, nor does OSLT accept any liability for failing to do so.

The Tool is provided “as is” and “as available”, without guarantees of any kind, and results should not be used for:

• regulatory reporting
• greenhouse gas inventories
• audited carbon accounting
• environmental certification
• carbon-neutral claims
• financial reporting
• commercial decision making.

5. Limited Liability
   

To the maximum extent permitted by law, OSLT will not be liable to you in contract, tort (including negligence) or equity for any loss, damage, or claim of any kind arising from or in connection with your use of the Tool or its outputs, or from the Tool’s inclusion on your website. This includes any indirect, incidental, exemplary, punitive or consequential loss or damage, including loss of revenue, profits, business. You remain solely responsible for how the Tool is presented on your website, and for any representations you make to your own users about the Tool or its outputs. Notwithstanding any other provision in theses Terms, to the extent OSLT is found liable to you, OSLT’s liability shall be limited to the minimum amount required by law, if any.

6. Right to Revoke

OSLT reserves the right to revoke your licence to embed or use the Tool at our discretion and without prior notice, if:

• the Tool is modified, misrepresented, or used in a misleading way;
• the Tool is associated with content that is unlawful, offensive, or inconsistent with OSLT’s values and purpose;
• use of the Tool implies an endorsement, partnership, or affiliation with OSLT that has not been separately agreed; or
• these Terms are otherwise breached.

Where appropriate, we will notify you and provide an opportunity to remedy any issue before revoking access. Continued use of the embed code after revocation is not permitted, and you must remove the embedded code and cease display of the Tool from your website(s) within [5] business days of receiving notice of revocation.

Termination or revocation of your licence does not affect rights or obligations that have accrued prior to termination or revocation. Clause 4 (Indicative Estimates Only), clause 5 (Limited Liability), clause 7 (Intellectual Property) survive termination or revocation.

7. Intellectual Property

   You acknowledge that OSLT is the exclusive owner of all intellectual property rights (being all present and future rights in or to any copyright, patent, design, trade mark, brand name, domain name, know-how, trade secret, confidential information, and any other similar rights, whether registered, registrable, patentable or not, and wherever existing in the world, including all renewals, extensions and revivals of, and all rights to apply for, any of the foregoing rights) relating to the Tool, including its code, visual design, branding, and underlying methodology. Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence to embed set out in clause 1.

8. Tax Receipts

Donations made through the Tool are made directly to OSLT, a registered charity. OSLT will issue each donor with a tax receipt containing the donor’s name, the amount and date of the donation, a statement that it is a donation, OSLT’s name, IRD number, and Charities Services registration number, together with a unique receipt number. You must not represent that you receive donations or issue receipts for donations made through the Tool.

9. Recipient of Donations

Donations made through the Tool support the environmental and conservation initiatives of OSLT. OSLT may, at its sole discretion, change the recipient or beneficiary of funds donated through the Tool, including by directing those funds to another charitable organisation, initiative, or project. Any such change will be publicised through the Tool and will take effect from the date the change is made available on the Tool. You are not required to take any action in respect of such a change, and the change does not affect your obligations under these Terms.

10. Privacy and Data Protection

OSLT collects and handles personal information in accordance with the Privacy Act 2020. Details of how we collect, use, store, and disclose personal information through the Tool are set out in our Privacy Policy, available at Privacy Policy. If your users have any questions about how their personal information is handled, they should refer to our Privacy Policy or contact us directly using the details in clause 15.

11. Assignment

You must not assign any rights or obligations under these Terms, whether in whole or in part, without our prior written consent.

12. Waiver

No waiver by OSLT of any term or condition of these Terms shall be deemed to be a further or continuing waiver of that term or condition, or a waiver of any other term or condition. OSLT’s failure to assert any right or provision under these Terms does not constitute a waiver of that right or provision.

13. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be limited to the minimum extent necessary or otherwise eliminated so that the remaining provisions of these Terms continue in full force and effect.

 14. Governing Law and Jurisdiction

These Terms, the Tool, and any dispute or claim arising out of or relating to them, are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the courts of New Zealand.

 15. Changes to Terms of UseWe may update these Terms from time to time. The current version will always be available at https://otagoshoreandland.org/nz-natives-calculator/. Continued use of the embed code following any update constitutes acceptance of the revised Terms.
